E.      Any fraudulent transaction on your debit/ credit card by any third party not associated with Kaydekanun.com

 

27.   Disclaimer of warranties: you expressly understand and agree that:

A.    Your use of Kaydekanun.com and its underlying software are at your sole risk.  Kaydekanun.com and its underlying software are provided on an “as is” and “as available” basis.  Kaydekanun.com and its subsidiaries, affiliates, officers, employees, agents, partners, and licensors expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of title, merchantability, fitness for a particular purpose and non-infringement.

B.     Kaydekanun.com and its subsidiaries, affiliates, officers, employees, agents, partners, and licensors make no warranty that:

(I)              Kaydekanun.com or its underlying software will meet your requirements;

(II)            Kaydekanun.com or its underlying software will be uninterrupted, timely, secure or error-free;

(III)           The results that may be obtained from the use of Kaydekanun.com or its underlying software will be accurate or reliable; 

(IV)           The quality of any products, services, information or other material purchased or obtained by you through Kaydekanun.com or its underlying software will meet your expectations; and (v) any errors in the software will be corrected.

F.     Kaydekanun.com shall not be responsible for any professional misconduct by you or your firm or your affiliates or associates as per the provisions under any applicable act through which your firm or you are registered.

28.   Liability limitation:  Kaydekanun.com will not be liable (whether in contract, warranty, tort, (including negligence, documents liability, any type of civil responsibility or other in theory or other-wise) to you or any other person for any cost of cover, recovery or recoupment of any in-vestment made by you or your affiliates in connection with the services provided, or for any loss of profit, revenue, or data or punitive or consequential damages arising out of or relating to this agreement, even if Kaydekanun.com has been advised of the possibility of such costs or damages.  Kaydekanun.com in furtherance shall not be liable for any gross negligence or wilful misconduct.  Kaydekanun.com is not responsible for any fraudulent transaction of your banking instruments or debit/credit cards.  Kaydekanun.com is not responsible for any registered user who is not a bona fide registered professional under applicable statutes.

You expressly understand and agree that Kaydekanun.com and its subsidiaries, affiliates, officers, employees, agents, partners, and licensors shall not be liable to you for any punitive, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, monetary damages, damages for loss of profits, goodwill, use, data or other intangible losses (even if Kaydekanun.com has been advised of the possibility of such damages), resulting from:

A.      The use or the inability to use Kaydekanun.com;

B.      Hiring a lawyer or professional based on the information presented on Kaydekanun.com;

If we are required by law or by administration thereof to collect any value added, service, sales, use, goods and services or similar taxes from you, you will pay such taxes to us or the professionals you sought for professional service

33.  Relationship of parties: you and Kaydekanun.com registered users/ professionals are in tandem through Kaydekanun.com for your professional service and Kaydekanun.com shall not be involved in any dispute between you or your advisor. Nothing in this document will be construed to create a partnership, joint venture, association of persons, agency, franchise, sales representative, or employment relationship between you and Kaydekanun.com

34.  Confidentiality: during the course of your use of the services, you may receive information relating to us or our affiliates or to the services that is not known to the general public (“confidential information”). You agree that: (a) all confidential information will remain Kaydekanun.com‘s exclusive property; (b) you will use confidential information only as is reasonably necessary for your participation in the services and ensure that persons who have access to confidential information will be made aware of and will comply with the obligations in this provision; and (c) you will not otherwise disclose confidential information to any individual, company, or other third party, including any affiliates. You may not issue any press release or make any public statement related to the services, or use our name, trademarks or logo in any way (including in promotional material) without our advance written permission, or misrepresent or embellish the relationship between us in any way.  Kaydekanun.com shall keep all information furnished by you including your personal data, banking information, matters due to which you are seeking professional service and any sensitive information in confidentiality at all times. There shall be no misuse of any confidential information provided by you to Kaydekanun.com.

35.   Notice and procedure for making claims of copyright or intellectual property infringement:  Kaydekanun.com respects the intellectual property of others, and we ask our users to do the same.  Kaydekanun.com may, in appropriate circumstances and at its discretion, disable and/or terminate the accounts of users who may be repeat infringers. A.      An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;

B.      A description of the copyrighted work or other intellectual property that you claim has been infringed;

C.      A description of where the material that you claim is infringing is located on the site;

D.      Your address, telephone number, and email address;

E.      A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

F.      A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.

36.   General information:

A.      Entire agreement. The user agreement constitutes the entire agreement between you and  Kaydekanun.com and governs your use of  Kaydekanun.com, superseding any prior version of this user agreement between you and  Kaydekanun.com with respect to  Kaydekanun.com. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other Kaydekanun.com services, affiliate services, third-party content or third-party software.

B.      Choice of law and forum. You and  Kaydekanun.com each agree that the user agreement and the relationship between the parties shall be governed by the laws of the state of california without regard to its conflict of law provisions and that any and all claims, causes of action, or disputes (regardless of theory) arising out of or relating to the user agreement, or the relationship between you and Kaydekanun.com, shall be brought exclusively in the courts located in the district courts, Gurugram, Haryana, India. You and Kaydekanun.com agree to submit to the personal jurisdiction of the courts located within the district courts, Gurugram, Haryana, India, and agree to waive any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts.

C.      Waiver and severability of terms. The failure of Kaydekanun.com to exercise or enforce any right or provision of the user agreement shall not constitute a waiver of such right or provision. If any provision of the user agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the user agreement remain in full force and effect.

D.    No right of survivorship and non-transferability. You agree that your Kaydekanun.com account is non-transferable and any rights to your Kaydekanun.com user id or contents within your account terminate upon your death. Upon receipt of a copy of a death certificate, your account may be terminated and all contents therein permanently deleted.

E.     Statute of limitations. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of Kaydekanun.com or the user agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.

F.      The terms and conditions are as per the prevalent laws of india and any dispute regarding these terms, shall be referred to applicable laws of india.

G.    You may not transfer or assign all or any portion of this agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this agreement will be binding on, inure to, and be enforceable against you and your respective successors and assigns or affiliates, associates. We may perform any of our obligations or exercise any of our rights under this agreement through one or more of our affiliates. Our failure to enforce your strict performance of any provision of this agreement will not constitute a waiver of our right to enforce such provision or any other provision of this Agreement subsequently.

H.   Kaydekanun.com retains the right to immediately halt any transaction, prevent or restrict access to the services or take any other action to restrict access to or availability of any inaccurate listing, any inappropriately categorized items, any unlawful items, or any items otherwise prohibited by the applicable program policies.

I.    You agree that we may, in our sole discretion, disclose or make available any information provided or submitted by you or related to your participation under this agreement (including information regarding your documents or your transactions) to any judicial, quasi-judicial, governmental, regulatory or any other authority as may be required by us to co-operate and / or comply with any of their orders, instructions or directions or to fulfill any requirements under applicable laws.

 

The section titles in the user agreement are for convenience only and have no legal or contractual effect. 

37.   Password security: any password we provide to you may be used only during the term to access your account or registered user account, respectively, (or other tools we provide) to use the service, electronically accept your transactions, and review your completed transactions. You are solely responsible for maintaining the security of your password. You may not disclose your password to any third party (other than third parties authorized by you to use your account in accordance with this agreement) and are solely responsible for any use of or action taken under your password. If your password is compromised, you must immediately change your password.

38.  Modification:we may amend any of the terms and conditions contained in this document(including the service terms and program policies) at any time and solely at our discretion.
